Constitution & Rules Ã¢â‚¬â€œ April 2006
1NameThe club shall be names BIRSTALL RUGBY FOOTBALL CLUB (1991) incorporating Birstall Community College RFC (1975).
2ObjectThe object of the club shall be the promotion of amateur Rugby Union Football and social activities in connection therewith, including the entertainment of visiting teams.
3ColoursThe colours of the club shall consist of Green, Black and White shirts, Black Shorts and Black Socks.
The clubs second colours shall consist of Blue shirts, Black Shorts and Black Socks.
4MembersThe club shall consist of :
Life Members, Playing Members and Social Members.
Life Members may only be elected and voted on by the full membership of the club at Annual General Meeting (AGM). No person may be proposed and elected a life member at the same AGM. A register of Members in all classes will be kept.
5MembershipMembers will be considered as any person who has paid the annual membership fee for their class of membership in the current season.
6Voting RightsVoting Rights at member level shall be restricted to those members who have paid the annual membership fee for their class of membership in the current season.
Voting Rights at Committee level shall be restricted to one vote per committee member. In the event of a tie the Chairman shall have an additional casting vote. Five Members shall form a Quorum.
7SubscriptionsThe committee will determine the Annual Subscriptions for all classes of membership. The members will be advised at what levels membership has been set at the club AGM.
8Election of OfficersThe Officers of the Club shall be elected from the Members of the Club at each Annual General Meeting. They shall hold office until the next Annual General Meeting, when they shall retire but be eligible for re-election year to year.
9OfficersThe Officers of the club are as follows:

Each Officer of the club shall, wherever possible, carry out their responsibilities in accordance with the guide to best practice pertaining to their office.
10Executive CommitteeThe Executive Committee shall consist of the following Officers:
Club Captain (OR First XV Captain if no Club Captain elected)
11Co-OptionThe Committee has the option to co-opt any member of the club to any position provided two weeks notice is given to all members of such and the reason(s) for the co-option. Should no suitable member be available, the committee has the power to look outside of the club for a suitably qualified person to act as a co-opted member of the committee until the next Annual General Meeting.
The Committee will be responsible for all disciplinary matters.
13TrusteesThere shall be two Trustees of the club who shall be proposed at AGM and voted in to office by the general membership before the election of the officers of the club. The properties of the Club shall be invested in them, and they shall deal with the properties of the club as directed by the Executive Council, these directions shall be by their resolution, of which entry in the Minute Book shall be conclusive evidence. The Trustees shall be indemnified against risk and expense out of Club property. The Trustees shall hold office until such time as they wish to remain so, or as removed by the Executive Council, who will then appoint new Trustee(s). A Trustee may not be a serving officer of the club at any time.
14Club DisbandmentShould the Club disband or become defunct, the Trustees are empowered to settle any outstanding liabilities and to transfer all remaining assets and properties to charities
a) within the sport of rugby and
b) local to Birstall.
Under no circumstances will any funds be shared out amongst the membership.
15Financial YearThe Financial Year shall run from the 1st June until the 31st May each year. Annual Accounts will be prepared by the Honorary Treasurer to include these dates and be presented at the following Annual General Meeting for acceptance by the membership.
16AccountsThe Accounts shall be Audited by an Honorary Auditor who shall be appointed by the Executive Council each year.
The date of AGM shall be held no later than the 30th June following the current season.
18Extraordinary General MeetingsAny request for an Extraordinary General Meeting to be held must be submitted in writing to the Committee stating the reason for the request and must be counter-signed by the at least 25% of the current membership. The committee are obliged to facilitate such a meeting which must be held within twenty-one days of receipt of the request.
19Powers of the Executive CommitteeThe Committee has the power to appoint any member or person to fill any post within the club subject to full and formal notice being given to the general membership.
The Committee has the authority to appoint Sub-Committee(s) and co-opt any person to be a member of a sub-committee. Membership of a sub-committee does not necessarily require a person to be a member of the club.
20Playing Members ResponsibilitiesPlaying Members shall act in accordance with the guide to best practice pertaining to Playing Members. Any insubordination shall be dealt with by the club captain. Should the player wish to take the matter further he shall submit a formal request to the Secretary for a hearing by the Executive Committee which must take place at the earliest possible date.
21Alterations To ConstitutionNo alterations to the Constitution & Rules shall be made except at an Annual General Meeting. Any member who proposes any changes to the constitution must be submit their proposal to the Committee for consideration at least sixty days before the Annual General Meeting and their proposal must be counter-signed by at least five other members. All proposed changes that meet these requirements must be heard at the AGM whether supported by the Committee or not. No alterations may be proposed and voted upon at the same AGM.
