Brook House Football Club Constitution

1.NAME

The club shall be called Brook House Football Club Limited. (the Club)
2.OBJECTS
The objects of the Club shall be to arrange association football matches and Social activities for it’s members.
3.Colours
The clubs colours shall be blue and white
4.STATUS OF RULES

These rules (the Club Rules) form a binding agreement between each

member of the club.
5.RULES AND REGULATIONS
(1)The Club shall have the status of an Affiliated Member Club of The Football Association by virtue of its affiliation to membership of The Football Association. The Rules and Regulations of The Football Association Limited and parent County Association and any League or Competition to which the Club is affiliated for the time being shall be deemed to be incorporated into the Club Rules.
(2) No alteration to the Club Rules shall be effective without prior written approval by the parent Association.
(3) The Club will also abide by The Football Association’s Child Protection Policies and Procedures, Codes of Conduct and the Equal Opportunities and Anti-Discrimination Policy.

6.CLUB MEMBERSHIP
(1) The members of the Club from time to time shall be those persons listed in the register of members (the Membership Register) which shall be maintained by the Club Secretary.
(2)Any person who wishes to be a member must apply on the Membership Application Form and deliver it to the Club. Election to membership shall be at the sole discretion of the Club Committee. Membership shall become effective upon an applicant’s name being entered in the Membership Register. At least one parent/guardian of a youth team player must be a full member of the club. All members must produce their membership cards when asked to do so.
(3)Only full and life members shall have full voting rights and be eligible to hold office. Other classifications of membership and persons under 21 years of age shall not have voting rights nor be eligible to hold office.
(4)A club member shall be a club member for a minimum of one year before they are eligible to propose a new member. A club member shall not be eligible to propose more than one person as a new member between any two A.G.M’s.
(5)In the event of a member’s resignation or expulsion, his or her name shall be removed from the Membership Register.
(6) The Football Association and parent County Association shall be given access to the Membership Register on demand.

7.LIFE MEMBERSHIP

Persons of long service may be granted life membership at the discretion

Of the club committee

8.ASSOCIATE MEMBERSHIP
A full or life member may make application to the club committee
for one associate member.

9.TEMPORARY MEMBERSHIP
All visiting teams and their supporters may be admitted as a temporary
member on the day of a pre-arranged match, so that they may enjoy
the privileges of membership for that day. Such persons must sign a book
kept for that purpose, and their names forwarded to the Secretary not less
than 48 hours before that day.

10.ANNUAL MEMBERSHIP FEE
(1) An annual fee payable by each member shall be determined from time to time by the Club Committee. Any fee shall be payable on a successful application for membership and annually by each member. Fees shall not be repayable.
(2)The Club Committee shall have the authority to levy further subscriptions from the members as are reasonably necessary to fulfil the objects of the Club.

11. REGISTRATION FEE
An annual registration fee, payable by the parent/guardian of each youth player, as determined from time to time by the club committee, shall be payable upon registration. This fee shall not be repayable should the player leave the club for whatever reason.
12. DISCIPLINE – MISCONDUCT BY CLUB OFFICIALS, PLAYERS AND

MEMBERS
1.The term ‘club officials’ includes team managers, coaches,
physio’s and other volunteers associated with football teams of any age group representing the club at any match.

i Any club official, player or member charged with misconduct, i.e.

Committed any act or made any statement either verbally or in

writing, or responsible for conduct, or continuing misconduct whether

on the field of play or otherwise, or any matter which, in the opinion of

the club committee or relevant sub committee, is considered to be

ungentlemanly, insulting or improper behaviour, or likely to bring the

game into disrepute or likely to bring the club into disrepute, and

proved guilty by the club, shall be liable to such penalty as the club

committee, or relevant sub committee may decide.

Ii .Where any club official, player or member is persistently subject of

disciplinary action by any football association or football league, this

will be construed as misconduct as described in rule 12(1)(ii) and the

club official, player or member will be liable to further disciplinary

action and to such penalty as the club committee or relevant

sub committee may decide.

13. Complaints Procedure

In the event that any member feels that he or she has suffered discrimination in any way, or that the Club Policies, Rules or Code of Conduct have been broken, should follow the procedures below.

1. They should report the matter to the Club Secretary or another member of the Committee.
Your report should include:
i. Details of what, when, and where the occurrence took place.
ii. Any witness statement and names.
iii. Names of any others who have been treated in a similar way.
iv. Details of any former complaints made about the incident, date,

and to whom made
v. A preference for a solution to the incident.
2. The Club’s Management Committee will sit for any hearings that are

requested
3. The Club’s Management Committee will have the power to:
i. Warn as to future conduct
ii. Suspend from membership
iii. Remove from membership

any person found to have broken the Club’s Policies or Codes of

conduct

14.RESIGNATION AND EXPULSION
(1) A member shall cease to be a member of the Club if, and from the date on which, he/she gives notice to the Club Committee of their resignation. A member whose annual membership fee or further subscription is more than 2 months in arrears shall be deemed to have resigned.
(2) The Club Committee shall have the power to expel a member when, in their opinion, it would not be in the interests of the Club for them to remain a member. Such members shall be given notice to attend a meeting of the club committee to offer an explanation. If the explanation is not acceptable to the club committee, or the member fails to attend, the member may be called upon to resign or may be expelled, censured or suspended for a specific period by a resolution passed by a majority vote at that meeting. There shall be no appeal procedures.
(3) A member who resigns or is expelled, censured or suspended shall not be entitled to claim any, or a share of any, of the Club Property.

15.CLUB COMMITTEE
(1) The Club Committee shall consist of the following Club Officers: Chairperson, Vice Chairperson, Treasurer, Secretary, Football Secretary, Membership Secretary, Social Secretary, Child Protection Office plus up to five other members, elected at an Annual General Meeting.
(2) Each Club Officer and Club Committee Member shall hold office from the date of appointment until the next Annual General Meeting unless otherwise resolved at a Special General Meeting. One person may hold no more than two positions of Club Officer at any time. The Club Committee shall be responsible for the management of all the affairs of the Club. Decisions of the Club Committee shall be made by a simple majority of those attending the Club Committee meeting. The Chairperson of the Club Committee meeting shall have a casting vote in the event of a tie. The Chairperson shall chair meetings of the Club Committee or in their absence, a person elected to act as Chairperson by members of that committee meeting. The quorum for the transaction of business of the Club Committee shall be five.
(3) Decisions of the Club Committee of meetings shall be entered into the Minute Book of the Club to be maintained by the Club Secretary.
(4) Any member of the Club Committee may call a meeting of the Club Committee by giving not less than 7 days’ notice to all members of the Club Committee. The Club Committee shall hold meetings monthly.
(6)An outgoing member of the Club Committee may be re-elected. A member proposed by one and seconded by another of the remaining Club Committee members shall fill any vacancy on the Club Committee, which arises between Annual General Meetings. Approval is by a simple majority of the remaining Club Committee members.
(7)The club committee may appoint a sub committee, all of whose members will be full or life members of the club. The club committee may delegate such of its powers to the sub committee, as it deems necessary.
(8)The club committee shall be empowered to co-opt any member of the club, either temporarily or permanently, to advise on technical or practical matters or to undertake specific duties. Such members shall not be entitled to vote at club committee meetings, unless they have been co-opted onto the club committee.
(6) Save as provided for in the Rules and Regulations of The Football Association and the County Association to which the Club is affiliated, the Club Committee shall have the power to decide all questions and disputes arising in respect of any issue concerning the Club Rules.

16. ANNUAL AND SPECIAL GENERAL MEETING
(1) An Annual General Meeting (AGM) shall be held in each year between the 31st May and 1st September inclusive, and within 15 months of the preceding Annual General Meeting. to:
(i)Receive a report of the activities of the Club over the

previous year.
(ii)Receive a report of the Club’s finances over the previous

year
(iii)Elect the members of the Club Committee.
(iv)Elect auditors for the ensuing year.
(iv) Consider any other business.

(2)Nominations for election of members as Club Officers or as members of the Club Committeeshall be made in writing by the proposer and seconder, both of whom must be existing members of the Club, to the Club Secretary not less than 21 days before the AGM. Notice of any resolution to be proposed at the AGM shall be given in writing to the Club Secretary not less than 21 days before the Meeting.

(3)The Committee may call a Special General Meeting (SGM) at any time. It shall be called within 28 days of the receipt by the Club Secretary of a requisition in writing signed by not less than fifteen members or 1/5 of the club membership stating the purposes for which the Meeting is required and the resolutions proposed. Business at an SGM may be any business that may be transacted at an AGM.
(4) A notice convening any general meeting of the club, together with an agenda shall be posted on the club notice board not less than 21 days prior to the meeting. No business other than that which due notice has been given shall be presented at such a meeting.
(5) The quorum for a General Meeting shall be five .
(6)The Chairperson, or in their absence a member selected by the Club Committee, shall take the chair. Each member present shall have one vote. Resolutions shall be passed by a simple majority of those present and entitled to vote. In the event of an equality of votes the Chairperson of the Meeting shall have a casting vote.
(7)The Club Secretary, or in their absence a member of the Club Committee, shall enter Minutes of General Meetings into the Minute Book of the Club.
(8)Notices posted on the club notice board shall be deemed good and sufficient notice to all club members.

17. CLUB TEAMS
At its first meeting following each AGM, the Club Committee shall appoint a Club member to be responsible for each of the Club’s football teams. The appointed members shall be responsible for managing the affairs of the team. The appointed members shall present to the Club Committee at its last meeting prior to an AGM a written report on the activities of the team.

18. CLUB FINANCES
(1) A bank account shall be opened and maintained in the name of the Club (the Club Account). Designated account signatories shall be the Club Chairperson, the Club Secretary and the Treasurer. No sum shall be drawn from the Club Account except by cheque signed by two of the three designated signatories. All monies payable to the Club shall be received by the Treasurer and deposited in the Club Account.
(2) The income and assets of the Club (the Club Property) shall be applied only in furtherance of the objects of the Club.
(3) The Club Committee shall have power to authorise the payment of remuneration and expenses to any member of the Club and to any other person or persons for services rendered to the Club.
(4) The Club shall prepare an annual Financial Statement in such form as shall be published by The Football Association from time to time.
(5)The Club Property, other than the Club Account, shall be vested in not less than two and no more than four custodians. One shall be the Treasurer (the Custodians), who shall deal with the Club Property as directed by decisions of the Club Committee and entry in the Minute Book shall be conclusive evidence of such a decision.
(6)The Custodians shall be appointed by the Club in a General Meeting and shall hold office until death or resignation unless removed by a resolution passed at a General Meeting.
(7)On their removal or resignation a Custodian shall execute a Conveyance in such form as is published by The Football Association from time to time to a newly-elected Custodian or the existing Custodians as directed by the Club Committee. On the death of a Custodian, any Club Property vested in them shall vest automatically in the surviving Custodians. If there is only one surviving Custodian, a Special General Meeting shall be convened as soon as possible to appoint another Custodian.
(8)The Custodians shall be entitled to an indemnity out of the Club Property for all expenses and other liabilities reasonably incurred by them in carrying out their duties.

19.CLUB AND BAR HOURS
(1)The club premises shall normally be open between 10.30am and 11.30pm. These hours may be varied by order of the club committee.
(2)The hours permitted for the sale of intoxicating liquor shall be as prescribed by the licensing laws in force at the time. The club committee reserves the right to vary these times within those prescribed hours.

20.GUESTS.
(1)Only full and life members may introduce guests to the club premises. The club committee may make such arrangements as are necessary to introduce guests for specific reasons.
(2)No person shall be introduced as a guest more than twice in one calendar month. No member may introduce more than two guests at any one time.
(3)On entry to the club premises, guests shall fill in their particulars in the guest book. This shall be counter-signed by the introducing member. The introducing member will remain on the club premises with their guests and will be responsible for them at all times.

21.EQUIPMENT.
Any equipment used by football teams always remains the property of the club. This includes football kits, tracksuits and any other equipment used for or in the course of a football match or for training purposes. Any player seeking a transfer from the club who has not returned such equipment will not be released from their registration with the club until such equipment has been returned. This will also apply to any outstanding monies owed to the club accrued by the player concerned.

22. CODE OF CONDUCT
Every person associated with the club, in whatever capacity, shall be expected to comply with the club’s code of conduct. This includes the club’s anti-discrimination and equal opportunities policy and Child Protection Policy. Any person who breaches the club’s code of conduct is in breach of the club rules and will be subject to disciplinary action as determined by the club committee.

23. BROOK HOUSE CHILD PROTECTION POLICY STATEMENT

(1) Every child or young person, defined as any person under the age

of 18, who plays or participates in football should be able to take

part an enjoyable and safe environment and be free from abuse.

This is the responsibility of every adult in football. The Brook House Football Club recognises its responsibility to safeguard the welfare

of all children and young people by protecting them from physical

sexual, or emotional harm and from neglect or bullying. As a result

the Brook House Football club fully adopts the child abuse policy

procedures of the Football Association.

(3)These procedures apply to anyone in Football, whether in a paid or
voluntary capacity. For example, volunteers at the club, referees,
Club officials, helpers on club tours, football coaches and medical
staff.
(4)The Brook House Football Club will consider, having taken advice,
whether anyone who has a previous criminal conviction or caution
for offences related to the abuse of children, or young people, violence or any sexual offences should be excluded from working
with children and young people. This position is reinforced by UK
legislation and guidance.

(5)A copy of the procedures is always available. For help and advice,
contact the Child Protection Officer.

24. DISSOLUTION
(1) A resolution to dissolve the Club shall only be proposed at a General Meeting and shall be carried by a majority of at least three-quarters of the members present.
(2)The dissolution shall take effect from the date of the resolution and the members of the Club Committee shall be responsible for the winding up of the assets and liabilities of the Club.
(3) Any surplus assets remaining after the discharge of the debts and
liabilities of the Club shall be transferred to the parent Association who
shall determine how the assets shall be utilised for the benefit of the
game. Alternatively, such assets may be disposed of in such other
manner as the members of the Club with the consent of the parent
Association shall determine.
