Constitution

V & E Youth Club Constitution

1. Name
1.1The name of the club shall be the V & E Youth Club
2. Objects
2.1The aim of the club is to provide sporting and leisure time activities in the Borough of Broxbourne so to develop the physical, mental and spiritual capacities of those aged 5 - 20 years that they may grow to full maturity as individuals and members of society.
3. Administration
3.1Subject to matters set out below the activities of the club shall be administered in accordance with this constitution by the Management Committee composed of all trustees of the Club and at least one representative from each section.
3.23.2.13.2.2 3.2.3 For the purposes of this constitution, Sections are defined as follows:Community Section -Youth Section - A youth section must have a simple majority of members in the age range of five to twenty years.Each section will have its own management committee and constitution in line with this document
4. Powers
4.1In furtherance of the objective but not otherwise the Management Committee may:
4.1.14.1.24.1.3Devise methods for achieving the object of the Club and to exercise a general oversight of its activities and to assist in the development and extension of these activitiesTo make, alter and rescind rules for the internal management of the club and may delegate any of their powers to a Committee consisting of such members of their body as they may think fit. Any committee so formed shall in the exercise of the powers so delegated, conform to any regulations that may be imposed on it by the Management Committee.To confer Youth or Community section status on groups regularly using the facilities of the club who will operate in furtherance of the objectives of the Club. Each will have their own constitution in line with this document.

5. Membership of the Management Committee
5 15.25.35.4The Management Committee shall consist of at least 5 and not more than 9 persons. This includes the Clubs Trustees and at least 1 member from each of the Clubs sections.Honorary Officers - The Club will elect a Chairman, a Secretary and a Treasurer and other such officers as deemed necessary. The Chairman and The Treasurer shall hold their posts for a period of 2 years, voted on alternate years at the Annual General Meeting. At the end of this term, the Honorary Officer must retire but shall be eligible for re-election. Nominations for Committee Members should be submitted 14 days prior to the AGMNo more than two persons from each Section shall have voting rights
6. Meetings and Proceedings of the Club
6.16.26.36.46.56.6The Management Committee shall meet at least four times a yearAn Annual General Meeting will be held each year at a date selected by the Management Committee. Notices will be posted in the Club’s buildings giving members the time to make the required 28 days notice for proposed changes to the constitutionA General Meeting may be held. Not less that 28 days notice shall be given. Any person desirous of submitting matter for discussion shall give not less that 14 days notice before the meeting to the Hon. Secretary.A Quorum at the meeting of the Management Committee shall be one half of the total membership of the Committee at that time. If a meeting is declared inquorate the business will stand adjourned to the next meeting of the CommitteeAll questions arising at any meeting shall be decided by a simple majority of those present and entitled to vote, but in the case of an equality of votes the Chairman of the meeting shall have a second or casting vote.Minutes shall be kept by the Committee and the secretary shall include a record of all proceedings and resolutions

7. Membership of the Club
7.17.27.37.2.17.2.2Membership of the Club shall be open to young people of the community aged up to twenty years and may continue into adulthoodManagement Committee shall have the right to:Approve/reject applications for membership.For good and sufficient reason, terminate the membership of any individual PROVIDED THAT the individual member concerned shall have the right to be heard by the committee accompanied by a friend before a final decision is made.Each member of the Club will have one vote at both AGMs and General Meetings of the club.
8. Subscriptions
Subscriptions shall be paid to the individual section as laid out in that sections own constitution
9. Fundraising
9.1All sections of the club will be responsible for the fundraising to assist the Club to remain solvent.
10. Accounts
10.110.210.1.110.1.210.1.3The management committee shall be responsible for:Keeping accounting records for the clubThe preparation of annual statements of account for the Club for presentation to the Annual General MeetingThe auditing or independent examination of the statements of account of the Club.Any bank account in which any assets of the club are deposited shall be operated by the Management Committee and shall be held in the name of the Club. All cheques and orders for the payment of money from such account shall be signed by at least two members of the Management Committee.
11. Premises and Surrounding Areas
11.1No work shall be carried out to build new or alter existing structures of the club without the permission of the Management Committee.
12. Bye-Laws
12.1The letting of the premises shall be on the sole discretion of the Officers of the Club. Any such applications shall be made in writing and addressed to the Management Committee

13. Damage
13.1Any damage to the premises shall be the responsibility of the section of the club that is using the premises at the time of the damage.
14. Amendments to the constitution
14.1The constitution shall only be altered by resolution passed by a two thirds majority of the full management committee. Notice of proposed amendments to the constitution must be given not less than 28 days prior to the meeting.
15. Dissolution
15.1If the Management Committee decide that it is necessary or advisable to dissolve the Club, they shall call a meeting of all members of which not less than 21 days notice (stating the terms of the resolution to be proposed) shall be given. If the proposal is confirmed by two thirds of those present and voting, the Management Committee shall have the power to realise any assets held on or on behalf of the Club. Any assets remaining after the satisfaction of any proper debts and liabilities shall be given or transferred to such charitable institution or institutions having objects similar to the object of this club as the members may determine, or shall be applied for some other charitable purpose
