Constitution
TITLES AND COLOURS
1. The Club shal be called "Greyhound RFC Limited" and the colours shall be be Navy, Red and Light Blue in any combination and each side to advise their respective leagues of their particular design.
2.The aims of the club shall be:-
(a) The encouragement of the game of Rugby Football in Herefordshire and in accordance with the Laws, Bylaws and Rules of Rugby Union at all levels.
(b) Every Effort will be made to provide a first class social environment to assist in the promotion of 2(a).
(c) The promotion of Youth Rugby within Herefordshire.
MEMBERSHIP
3.Membership is open to anyone(subject to any limit on the number of members, which may be imposed by the committee).
(a) Members of the Club shall be proposed and seconded by exisiting members of the Club ( who must personally vouch for the candidate). All applications for membership shall be forwarded to the Honarary Membership Secretary, together with the appropriate subscription.
(b)Any person or person elected in accordance with the provision of this rule shall not be admitted to the privileges of membership without an interval of at least two days between his/her/their becoming members and his/her/their admission.
(c) Succesful applicants will be issued with a membership card that shall be the reciept for the subscription paid.
(d) A member will be required to produce his/her membership card on demand.
(e) Members will be notified that the Greyhound RFC is a Limited Company and the rules of Limitation apply.
(f)Members will adhere to the Constitution of the Hereford City Sports Club.
PAYMENT OF SUBSCRIPTIONS
4.The Committee and Trustees shall fix the Subscriptions fro each category of membership and each member shall be required to pay the appropriate subscriptions relating to his/her category of membership
(a) Subscriptions shall become due on the first day of September in each year, such subscriptions shall be deemed to be debt due to the Honorary Treasurer of the Club for the time being.
(b)Members whose Subscriptions remain unpaid on expiry of two months from the due date will have an additional £10 added to their debt due, in addition to their names posted on the Clubs notice board and such members will not be allowed to make use of the Club premises or ground until their subscriptions are paid. Any member whose subscriptions remains unpaid on expiry of 3months from the due date may be struck off the list of members.
(c)A list of the names and addresses of the members of the Club will be kept at the Club and maintained by the Honorary Membership Secretary.
ELECTION OF THE TRUSTEES/DIRECTORS
5.Trustees/Directors shall normally be solicited by the members of the club and will be expected to hold office for a minimum period of five(5) years.
TRUSTEES/DIRECTORS
6.The Trustees have the responsibility to oversee the control of the running of the G.R.F.C Limited, maintaining the clubs's aims of providing the game of Rugby and ensuring officers of the club operate within the clubs's ethos as in rule 2-2a 2b.
ELECTION OF OFFICERS
7.The officers shall be elected at the Annual General Meeting and expected to hold office for 12 months and shall consist of President, Chairman, Honorary Secretary, Honorary Treasurer, Honorary Fixtures Secretary Honorary Membership Secretary, Team Managers, Coach and any other position deemed necessary by the Committee.
7a.A full list of Greyhound RFC Limited officers and their duties will be made available upon request.
COMMITTEE
8.The Club shall be administered by the Trustees and the Committee consisting of:-
Trustee/Director - Fixture Secretary
Trustee/Director - Director of Rugby
Trustee/Director - Membership Secreatry
Hon Chairman - Grounds Man
Finnancial Director - Club Medic
Hon Secretary - Press Officer
Club Captain-
Herein referred to as the Club Committee (CC).
(a)All members of the (CC) are to be personally present at all meetings of which at least five days notice has to be given and they shall form a quorum.
(b)All members of the (CC) must attend meetings and if more than two consecutive meetings are missed you will have deemed to have resigned from the (CC).
(c)The (CC) shall have power to fill vacancies occuring on the (CC).
(d)the (CC) shall have the power to co-opt onto their (CC) at any time any persons for such purposes as the (CC) think fit.
(e)The (CC) shall appoint such Sub-Committees as they see think fit.
(f)The Committee shall have the power to expel any member who shall offend against the rules of the Club or whose conduct shall in the opinion of the Committee render him/her unfit for membership of the Club. Before any such member is expelled the Honorary Secretary shall give him/her seven days written notice to attend a meeting of the Committee and shall inform and shall inform him/her of the complaints made against him/her. No membershall be expelled without first having the oportunity of appearinf before the Committee and answering the complaints made against them and unless at two thirds of the Committee then present vote in favour of their expulsion.
(g)The Committee whose decision shall be final subject to Rule 8f hereof shall decide any matter in dispute under these rules.
(h) The Committee shall have power to arrange such borrowing of monies as they deem fit.
(i)The Committee shall have power to deal with matters specifically referred to in the Rules.
HONORARY SECREATRY'S DUTIES
9. The Hon Secreatry shall carry out such duties as may be assigned to him/her by the Committee
FINANCIAL DIRECTOR'S DUTIES
10.The Financial Director shall receive all money on account of the Club. The Hon Treasurer shall make such payments and render such accounts as the Committee may direct.
AUDITORS
11.Auditors shall be appointed at each Annual General Meeting to check that the accounts, prior to the Annual General meeting, are accurate.
FINANCIAL YEAR
11.The Clubs Financial Year shall end on the 31 May of each year.
ANNUAL GENERAL MEETING
13.The Annual General Meeting of the Club shall be held on the 2nd week in June, at such time and place as shall be selected by the Committee to recieve official reports and elect officers, Executive Committee members and Auditors for each year. At the Annual General Meeting the Honorary Treasurer shall present the Statement of Accounts for the previous year to the 31 may as certified by the Auditors. A Quorum at the Annual General Meeting shall consist of one fith of of the Club's members being personally present.
EXTRAORDINARY GENERAL MEETING
14.An Extraordinary General Meeting shall be called:-
(a) at the request of the Committee or Trustees/Directors or
(b)by the Committee or Trustees/Directors within twenty-one(21) days of the receipt by that Committee/Trustee/Directors of a requisition of one fifth of the members of the Club for the time being or twenty-one(21) members whichever is the less. Such requisitions must state the purpose for which the meeting is required.
NOTICE OF MEETING
15.The Honorary Secretary shall, at least fourteen days before any Annual General Meeting,send to every member at his address as recorded in the register of members, a notice of the meeting stating the time when and the place where it will be held, and the buisness to be conducted.
BUISINESS AT GENERAL MEETINGS
16.The buisiness of a General Meeting shall be limited to that provided by these rules and those further matters set out in the notice convening the meeting.
VOTES
17. At all meetings of the club each member will recieve one vote.
ADJOURNMENT
18.Any General Meeting or adjournment thereof at which the requisite quorum is not present within fiftenn minutes after the fixed for the commencement thereof shall stand adjourned to such time and place as the of the Committee present shall fix.
ALTERATION OF RULES
19.Subject to these rules, the rules may be ammended, deleted or added to at any General Meeting or at any Extraordinary General Meeting held for that purpose by a vote of two thirds majority of members of members present and voting at such meeting. No alteration in the rules shall take affect until the expiration of the twenty-eight(28) days from the date of the Annual General Meeting or Extraordinary General Meeting at which the alteration(s) in the rules is/are passed.
RULES
20.The Rules of the Club shall be printed and a copy made available on request.
RESIGNATION OF MEMBERS
21. Members wishing to resign from the Club must give at least one month's notice in writing to the Honorary membership Secretary.
