Constitution

KEIGHLEY COUGAR CUBS CONSTITUTION "2006" VERSION.

1. The club shall be known as KEIGHLEY COUGAR CUBS YOUTH AMATEUR RUGBY LEAGUE CLUB.

2. The primary objective of the Club shall be to promote and teach Youth Amateur Rugby League, in and around the Keighley district.

3. Membership of the club shall be divided into the following categories:

3.1 JUNIOR MEMBER.

Junior members will be registered players and they will not have any voting rights.

Junior members will be accepted on no other basis than application i.e. their ability and or any other circumstances will not be taken into consideration As of season 2006-2007 this clause will not apply to the Under 18s team whilst it competes in the Halifax Insurance National Youth League or other prestigious competition as defined by the Management Committee at the Annual General meeting.

3.2 TEMPORARY JUNIOR MEMBER

Coaches may appoint temporary junior members, who will be prospective Junior Members, for a period of two weeks after which they must become Junior Members.

3.3 FULL MEMBER.

Full membership will be open to the legal guardians of junior members and may be granted to other interested parties whose names are put forward to the Management Committee by a full member and agreed upon by them. Full Members will have automatic voting rights in any meeting of the Club.

3.4 MANAGEMENT COMMITTEE MEMBER

Will be elected at the Club AGM by FULL MEMBERS of the Club. The Management Committee will have the power to form sub committees as the need arises and co-opt non-members to sit on these committees.

3.5 COACHES

Will be appointed by the Management Committee and will automatically become Full Members and a Member of the Management Committee.

3.6 ADMINISTRATORS

Coaches may appoint administrators, who will become Full Members and Members of the Management Committee.

3.7Both Junior and Full members must complete a Club membership form and pay the appropriate fee, where applicable. The membership fee for both of the above categories shall be determined at the AGM.

4. All members upon joining the club will be deemed to have agreed to adhere to the constitution and the Club rules.

4.1 Membership of the club for all categories of member shall run from 1st September to 31st August.

4.2 Membership renewals and new applications may be made at any time. Other than Management
Committee members, Coaches and administrators, no applications for Full Membership will be allowed after 30 September each year.

5. The affairs, assets and finances of the Club will be handled and managed by the Management Committee for and on behalf of the membership. The Management Committee will be unpaid volunteers.

5.1The management committee shall consist of a minimum of 7 members.

5.2A quorum shall consist of 5 members.

5.3The management committee shall normally meet on the second Monday of each month throughout the season at a venue to be set by the Club Chairman. The Secretary will be responsible for ensuring that any members not present at a meeting are advised of any variation in the date or venue of the next meeting.

5.4The Chairman/acting Chairman shall have a casting vote but will only vote in the event of a tie. A named proxy may vote on another Full Members behalf provided that the written authority is notified to the chairman prior to the start of the meeting. The proxy will cover any pre notified votes or amendments and any ad hoc votes.

5.5Minutes of all meetings of the management committee shall be taken by the secretary/minute secretary and if approved at the next meeting, kept for future reference by any Full Member or other party authorised by the Management Committee.

5.6All members of the management committee shall hold office from the date of one AGM until the date of the next, unless a motion put to an extra ordinary general meeting dissolves the committee. In this instance a new committee shall be formed. Prospective committee members will require a simple majority of full members present to enable them to be elected, regardless of the position they are standing for.

5.7Any member of the committee may resign from the committee at any time by advising the club secretary, preferably in writing. Such resignations shall take effect from the date of receipt by the secretary.

5.8The committee shall have the power to elect a successor to fill any vacancy.

5.9The management committee has the right to formulate and amend club rules as deemed necessary throughout the season

6. The Annual General Meeting of the club shall be held in July of each year on a date decided by the management committee. The Club Secretary will ensure that all Full Members of the Club are aware of the date and venue of this meeting at least 14 days beforehand.

6.1Only full members shall be allowed to attend.

6.2At the AGM the membership will receive the annual reports from the various elected officers of the Club, however the Treasurers report, including a full years statement of accounts, including all assets (finances, properties, equipment) should be available to members not less than 7 days prior to the decided date of the meeting, copies of the accounts will be available from the treasurer on request.

6.3Elections will also take place for the officers deemed necessary to run the Club. Specifically a Chairman, Secretary and Treasurer will be appointed.

7. The management committee reserve the right to expel any member, for gross misconduct or breach of the constitution/club rules.

8. Club funds shall be established and maintained by membership fees, weekly subscriptions, fund raising by the club and from public sponsorship and donations. The club will not have the ability to lend or borrow money.

8.1Any expenditure other than normal match day expenses e.g. kit washing, food, referee fees, first aid, whose rates will be decided upon at the AGM, must be put to the committee for their approval.

8.2Cheques shall be signed by two out of a number of Full Members specifically nominated as Club Signatories at the AGM or as amended at Monthly Management Meetings.

8.3The financial year will commence on 1 July and end on 30 June of each year. The Club Treasurer will produce monthly balance sheets to be presented at the Monthly Management Meetings and Annual accounts to be produced at the Annual general meeting.

9. Alterations to the Club Constitution must be made at the AGM or at an Extraordinary General Meeting (EGM), called specifically for that purpose. This EGM may be incidental to a scheduled Monthly Management Meeting. All full members of the Club must be informed of the date and venue of the EGM and the proposed changes to be made at least 14 days notice prior to such a meeting.

9.1No subsequent amendments to the proposed alterations will be allowed at this meeting.

9.2Alterations to the Club Constitution must be supported by at least two thirds of the total of full members of the club, attending and voting at the meeting

10. Information on membership will be obtainable from the club secretary on application.

11. Any full member present at a Monthly Management meeting can request an Extra Ordinary General Meeting and if supported by a majority of the members present it will take place within five weeks. The secretary must then give 14 days notice of the meeting to all full members. Incorporated in this notice will be the purpose of the EGM.

11.1 Should it be necessary to dissolve the club and wind up its affairs, then an Extra Ordinary meeting will be called to discuss the distribution of the assets and liabilities of the club.

11.2 All assets and liabilities of the club (finances, properties, equipment etc) belong to the total current membership of the club i.e. full members.

12. All members of the Club shall take positive steps to avoid any actions or behaviour that is discriminatory towards or against any person on grounds of sex, race, colour, religion, sexual orientation or physical disability.

13. This constitution was agreed and adopted by the Management Committee at its 2006 Annual General Meeting of the Club held on Thursday 13 July 2006 and supersedes the 2001constitution as adopted on Monday 13 August 2001 and the 1994 constitution as adopted by Full committee 9th March 1995
