Constitution

RULES OF THE CLUB

Club Name

The club shall be called Leeds City FC (LCFC).

Objects

The objectives of LCFC shall be to arrange coaching sessions, association football matches & social activities for its members.

Status of Rules

These rules form a binding agreement between each member of LCFC.

Rules & Regulations

LCFC shall have the status of an Affiliated Member Club of the Football Association (FA) by virtue of its affiliation to/membership of the FA. The rules & regulations of the FA & parent County Football Association (CFA) & any league or competition to which LCFC is affiliated for the time being shall be deemed to be incorporated into LCFC rules.

LCFC will also abide by the FA’s Child Protection Policies & Procedures, Codes of Conduct & the Equal Opportunities & Anti-Discrimination Policy.

Club Membership

The members of LCFC from time to time shall be those persons listed in the register of members (the Membership Register), which shall be maintained by the Secretary & retained by the LCFC committee.

Any person who wishes to be a member must apply on the Membership Application Form (normally a player registration form) & deliver it to LCFC. Election to membership shall be at the sole discretion of the Team Manager & LCFC committee. Membership shall become effective upon an applicant’s name being entered in the Membership Register.

In the event of a member’s resignation or expulsion, his or her name shall be removed from the Membership Register.

The FA & parent CFA shall be given access to the Membership Register on demand.

Annual Membership Fee

An annual fee, payable by each member, shall be determined from time to time by the LCFC committee. Any fee shall be payable on a successful application for membership & annually by each member. Fees shall not be repayable unless agreed by the LCFC committee.

The LCFC committee shall have the authority to levy further subscriptions from the members as are reasonably necessary to fulfill the objectives of LCFC.

Resignations & Expulsion

A member shall cease to be a member of LCFC if, & from the date on which, he/she gives notice to the LCFC committee of their resignation. A member whose annual membership fee or further subscription is more than two months in arrears shall be deemed to have resigned.

The LCFC committee shall have the power to expel a member when, in their opinion, it would not be in the interests of LCFC for them to remain a member. There shall be no appeal procedures.

A member who resigns or is expelled shall not be entitled to claim any, or a share of any, of the club property.

Club Committee

The LCFC committee shall consist of the following club officers: Chairman, Treasurer, Secretary, Saturday Representative, Sunday Representative & Junior Representative elected at an Annual General Meeting (AGM).

Each LCFC officer & LCFC committee member shall hold office from the date of appointment until the next AGM unless otherwise resolved at a Special General Meeting (SGM). One person may hold no more than two positions of club officer at any time. The LCFC committee shall be responsible for the management of all the affairs of LCFC. Decisions of the LCFC committee shall be made by a simple majority of those attending the committee meeting. The Chairman of the LCFC committee meeting shall have a casting vote in the event of a tie. Meetings of the LCFC committee shall be chaired by the Secretary or in their absence, the Treasurer. The quorum for the transaction of business of the LCFC committee shall be three.

Decisions of the LCFC committee in meetings shall be entered into the minute book of LCFC to be maintained by the Secretary.

Any member of the LCFC committee may call a meeting of the LCFC committee by giving not less than 7 days’ notice to all members of the LCFC committee. The LCFC committee shall hold not less than four meetings a year.

An outgoing member of the LCFC committee may be re-elected. A member proposed by one & seconded by another of the remaining LCFC committee members & approved by a simple majority of the remaining LCFC committee members shall fill any vacancy on the LCFC committee, which arises between AGM’s.

Save as provided for in the rules & regulations of the FA & the CFA to which LCFC is affiliated, the LCFC committee shall have the power to decide all questions & disputes arising in respect of any issue concerning LCFC rules.

Annual & Special General Meeting

An AGM shall be held in each year to:

Receive a report of the activities of LCFC over the previous year
Receive a report of LCFC’s finances over the previous year
Elect the members of the LCFC committee
Consider any other business.

Nominations for election of members as club officers or as members of the LCFC committee shall be made in writing by the proposer & seconder, both of whom must be existing members of LCFC, to the LCFC Secretary not less than seven days before the AGM. Notice of any resolution to be proposed at the AGM shall be given in writing to the Secretary not less than seven days before the meeting.

A SGM may be called at any time by the LCFC committee & shall be called within twenty one days of the receipt by the Secretary of a requisition in writing signed by not less than five members stating the purposes for which the meeting is required & the resolutions proposed. Business at a SGM may be any business that may be transacted at an AGM.

The Secretary shall send to each member, at his or her last known postal or e-mail address, notice of the date of a general meeting together with the resolutions to be proposed at least fourteen days before the meeting.

The quorum for a general meeting shall be three LCFC committee members.

The Chairman, or in their absence, a member selected by the LCFC committee, shall take the chair. Each member present shall have one vote & resolutions shall be passed by a simple majority. In the event of an equality of votes the chairperson of the meeting shall have a casting vote.

The Secretary, or in their absence, a member of the LCFC committee, shall enter minutes of general meetings into the minute book of LCFC.

In the event a meeting is required to discuss any member of the LCFC committee, that member will not attend the SGM & the results or decisions made by the remaining LCFC committee will be reported within three days of the SGM.

Club Teams

At its first meeting following each AGM, unless the league requires notification beforehand, the LCFC committee shall appoint a club member to be responsible for each of the LCFC football teams. The appointed members shall be responsible for managing the affairs of the team. The appointed members shall present to the LCFC committee at its last meeting prior to an AGM a written report of the activities of the team.

Club Finances

A bank account shall be maintained in the name of Leeds City FC (the LCFC account). Designated account signatories shall be the Chairman, the Secretary & the Treasurer. No sum shall be drawn from the LCFC account except by cheque signed by two of the three designated signatories. All monies payable to LCFC shall be received by the Treasurer & deposited in the LCFC account.

The income & assets of LCFC (the club property) shall be applied only in furtherance of the objectives of LCFC.

The LCFC committee shall have power to authorize the payment of remuneration & expenses to any member of LCFC & to any other person or persons for services rendered to LCFC.

LCFC shall prepare an annual financial statement in such form as shall be published by the FA from time to time.

LCFC property, other than the LCFC account, shall be vested in not less than two & no more than four custodians, one of whom shall be the Treasurer (the custodians), who shall deal with LCFC property as directed by decisions of the LCFC committee & entry in the minute book shall be conclusive evidence of such a decision.

The custodians shall be appointed by LCFC in a general meeting & shall hold office until death or resignation unless removed by a resolution passed at a general meeting.

On their removal or resignation a custodian shall execute a conveyance in such form as is published by the FA from time to time to a newly elected custodian or the existing custodians as directed by the LCFC committee. On the death of a custodian, any LCFC property vested in them shall vest automatically in the surviving custodians. If there is only one surviving custodian, a SGM shall be convened as soon as possible to appoint another custodian.

The custodians shall be entitled to an indemnity out of LCFC property for all expenses & other liabilities reasonably incurred by them in carrying out their duties.

Registration

All players will be required to complete a registration form for the purposes of league rules. In addition, each player is required to complete a “contact” form which details the individuals LCFC should contact in the event of an emergency. All details are retained by the Secretary &/or the LCFC committee.

A “registration” day will be arranged by the LCFC committee at an appropriate time. All annual subscriptions should be paid at the time of registration. This will include all payments determined by the LCFC committee at that time.

Discipline

The code of conduct details what is expected of players, coaches, managers, team officials, parents, spectators & club officials.

All reported breaches of this code of conduct will be referred immediately to the LCFC committee by the Team Manager responsible for the person involved in the alleged breach. In the event the incident involves a Team Official, all LCFC members are encouraged to report the matter to a member of the LCFC committee. The LCFC committee will decide whether further action is required or whether the Team Manager should be instructed to handle the matter “in house”.

The LCFC committee may deem the reported breach to be one where further action is necessary, & the individual concerned will be requested to attend a personal hearing in front of three nominated individuals from the LCFC committee. If necessary, the individual concerned will be entitled to parental or other representation.

The LCFC committee will then meet to discuss their report on the incident & decide whether further action is necessary. The individual concerned will be notified within seven days of the outcome agreed by the LCFC committee.

Breaches of this code could result in disciplinary action ranging from verbal & written warnings to suspension & expulsion depending on the severity of the breach.

Dissolution

A resolution to dissolve the club shall only be proposed at a general meeting & shall be carried by a majority of at least three-quarters of the members present.

The dissolution shall take effect from the date of the resolution & the members of the LCFC committee shall be responsible for the winding up of the assets & liabilities of LCFC.

Any surplus assets remaining after the discharge of the debts & liabilities of LCFC shall be transferred to the Central Football committee who shall determine how the assets shall be utilised for the benefit of the game. Alternatively, such assets may be disposed of in such other manner as the members of LCFC with the consent of the Central Football committee shall determine.
