Constitution

Rules

1. DEFINITIONS
The Club - The Old Dunstonian Rugby Football Club.
Old Dunstonian - A former pupil or teacher of St.Dunstan's College.
The Committee - The Full Committee of the Club.
Officer of the Club - A member of the Executive of the Club.
The Rules - The Constitution of the Club.
The Junior Section - The Junior Section of the Club.
The Ladies Section - The Ladies Section of the Club.
The Association - The Old Dunstonian Association.
The Sports Club - The Old Dunstonians Sports Club Limited.
The House Club - The Old Dunstonian House Club.
Ground Committee - The Ground Committee of the Old Dunstonians Sports Club Ltd.
Simple Majority - More than 50% of the votes cast. The chairman of the Meeting shall have a casting vote.
Special Majority - Two thirds or more of votes cast. The chairman of the Meeting shall have a casting vote.

2. AFFILIATIONS
The Club shall be in membership of the Rugby Football Union, the Kent County Rugby Football Union, the Middlesex County Rugby Football Union and the London Society of Rugby Union Referees.

3. MEMBERSHIP
i) Membership of the Club shall be open, either by invitation or application, to anyone interested in the sport regardless of ability, sex, age, nationality, ethnicity, sexual orientation, religion or other beliefs. However, limitation of membership may be applied due to the available facilities but on a non-discriminatory basis.
ii) The Committee may refuse membership only for good cause such as conduct or character likely to bring the Club or sport into disrepute. The aspiring member may appeal to the Committee and shall be given at least seven days notice of any such Committee meeting. At any such meeting the Committee's decision, requiring a simple majority of those present and voting, shall be final.
iii) The Club shall consist of a president, vice presidents, playing and honorary members. Only officers, playing members, vice presidents and honorary members shall be entitled to vote at annual or extraordinary general meetings.

4. OFFICERS, ELECTIONS

a) Officers
i) The following shall be elected to the Committee annually at the Annual General Meeting:
* president - to be elected from the list of vice presidents.
* hon. secretary. * hon. asst. secretary. * hon. treasurer. * hon. asst. treasurer. * captain of the Club.
* hon. match secretary. * hon.asst. match secretary. * hon. team secretary. * hon. asst. team secretary. * secretary for honorary members. * captains and vice captains of all XVs. * schools' liaison officer. * senior clubs' liaison officer. * ladies section nominee. *colts section nominee. * a general committee of three members. * nominees to the following old dunstonian bodies: old dunstonian sports club ltd (4). * old dunstonian house club (2). * old dunstonian association (1). * old dunstonian ground committee (1).

ii) In the event of no nominations being received for any post, the Committee shall appoint to that post at its discretion.
iii) The Committee shall have the power to co-opt extra members to the Committee as non- voting advisers, members thus co-opted shall not be officers of the Club.
b) Elections
i) The following shall be elected annually at the Annual General Meeting:-
* additional vice presidents, to be appointed for life, in recognition of service to the Club.
* honorary life members - to be appointed for life, in recognition of their work outside the Club which, in the Committee's opinion, has enhanced the Club in the wider rugby world.
* The honorary auditors.

5. COLOURS
Teams shall wear navy blue jerseys with a broad white band, on body and arms, 1st and "A" XVs shall wear white shorts, other XVs navy blue shorts. All XVs shall wear plain navy blue socks with two white stripes around tops.

6. SUBSCRIPTIONS
a) Rates
i) Annual subscription rates shall be agreed for each season by the Committee and put to the AGM for ratification which may, if so decided, delegate this task to the Committee .
b) Types
i) Subscriptions shall be payable as follows:
Full subscription - playing members.
Half subscription - playing members who are in full-time education.
Match fee - Guest players representing the Club.
Recommended minimum donation - vice presidents and honorary members.
ii) Full and Half rate subscriptions shall be paid by either a) a one-off payment or b) by standing order arrangement on a rolling monthly basis over the full year, and shall include the weekly match fee.
iii) The Committee shall have the power to consider special cases.
iv) The Committee shall have the power to suspend from playing membership, any player whose subscription has not been paid by 30th November.

7. MATCH FEES
A fee, the amount of which shall be at the Committee's discretion, shall be collected from each player after every match played, either by payment on the day or within the Full or Half subscription.

8. MANAGEMENT
i) The object of the Club is to provide facilities for and promote participation of the whole community in the sport of amateur rugby union.
ii) The Club shall be managed by a committee, which shall consist of only the following officers of the Club, who shall be ex officio: the president, hon. secretary, hon. assistant secretary, hon. treasurer, hon. asst, treasurer, hon. match secretary, hon. asst. match secretary, club captain, hon. team secretary, hon. asst team secretary, colts section nominee, ladies section nominee, junior section nominee, the captain or vice captain of each team, secretary for honorary members, schools' liaison officer, senior clubs' liaison officer, one member of the general committee, one member from each group of nominees, along with the club coach who shall be co-opted.
iii) At Committee meetings, five members present shall form a quorum. All proposals shall be carried by a simple majority. The chairman shall have a casting vote.
iv) Team selection shall be carried out weekly by a sub-committee comprising the coach/es, team captains and vice-captains, team secretaries, membership secretary, the assistant match secretary, junior/colts nominee, and a chairman elected by the Club committee. In the event of non-agreement on the selection of a player, the chairman of the sub- committee shall call a vote and a simple majority shall decide. In the case of a deadlock, the chairman shall have a casting vote. Any other member of the Club committee may attend as an observer.
v) It shall be expressly provided that a player, having been selected for, and played for, a particular team, the previous week, cannot be selected the following week for a team more than one below the previous week's selection.
vi) The hon. secretary shall be responsible for the keeping of the Club records, and for recording minutes of general, executive and committee meetings. The hon. treasurer shall keep the accounts, of all sections, and subject them to annual audit by two hon. auditors who are to be appointed at the Annual General Meeting.
vii) It shall be expressly provided that the Club, being non-profit making, reinvests any surplus funds back into the Club.
viii) In the event of dissolution of the Club, any assets remaining after settlement of debts and liabilities shall be transferred to the Sports Club.

9. BANKERS
i) The Club shall hold an account with a bank nominated by the Committee, and shall provide the bank with all the necessary details for appointed signatories of cheques.
ii) All cheques for amounts over £100 shall require two signatures.
iii) The Committee shall have full powers to nominate and alter signatories as part of its ordinary business.

10. GENERAL MEETINGS
i) There shall be one general meeting each year, 14 days notice being given to each member, at the end of the playing season, to elect officers, captains and vice captains for the following season, ratify appointments and to receive the accounts, duly audited, for the previous season. A quorum at these meetings to be 5 members.
ii) The Committee, or any 10 members of the Club, may, through the hon. secretary, call an extraordinary general meeting, 14 days notice being given to all members. At such meetings 20 members shall form a quorum, and no business other than that stated in the notice convening the meeting shall be discussed.
iii) Any member whose subscription is unpaid shall not be entitled to vote.
iv) The president of the Club shall Chair general meetings of the Club. He may, at his sole discretion, nominate an officer of the Club to chair a general meeting or part of it.
v) All proposals, other than those relating to the Rules, shall be carried by a simple majority.

11. ALTERATION TO THE RULES
i) These rules shall not be altered except at any general meeting, or extraordinary general meeting of the members, called for the purpose. Notice of any alteration must be given to the hon. secretary not less than 28 days before such a meeting, duly signed by proposer, seconder, and the hon. secretary shall embody the same in the notice convening the meeting.
ii) No such alterations shall become effective unless carried by a special majority of those present and eligible to vote.

12. DISCIPLINE
If any member is alleged to have violated the rules or bye-laws of the Club, or to have conducted him/herself in a manner prejudicial to the welfare of the Club, on or off the field, the Committee shall have the power to suspend or expel him/her from the membership by a vote with a special majority of the entire membership of the Committee. The member concerned shall be given at least seven days' notice of any such Committee meeting, to consider his/her case, and may present a defence to the Committee. He/she may thereafter appeal to a General Meeting against the Committee's decision when a special majority of those present and voting is required to confirm the Committee's decision.

13. LADIES' SECTION
a) Management
i) The Club shall establish a Ladies' section for senior players who must be over the age of 17 years by the 1st January.
ii) The section shall be run independently of the Club and shall be governed by its own constitution which shall be ratified by the Executive. Any proposed changes to the Ladies' section constitution shall likewise be subject to ratification by the Executive.
iii) The management of the section shall be the responsibility of the Club's appointed Manager who shall appoint a Ladies' section committee to oversee all activities of the section and shall chair its meetings.
iv) The composition of, and any changes to, the Ladies' section committee shall be formally approved by the Executive.
v) The constitution of the Ladies' section shall be broadly in line with the senior section with regard to open membership.
b) Administration
i) The Ladies' section committee shall be responsible for the management of the administration of the section.
ii) The section's financial accounts, held within the Club accounts, shall be subject to audit annually by the Club's appointed auditors.

14. JUNIOR SECTION
a) Management
i) The Club shall establish a Junior section for players up to the age of 18 years.
ii) The section shall be run independently of the Club and shall be governed by its own constitution which shall be ratified by the Club committee. Any proposed changes to the Junior section constitution shall likewise be subject to ratification by the Club committee.
iii) The management of the section shall be the responsibility of the Club's appointed manager who shall appoint a Junior section committee to oversee all activities of the section and shall chair its meetings
iv) The composition of, and any changes to, the Junior section committee shall be formally approved by the Club committee.
v) The constitution of the Junior section shall be broadly in line with the Senior section with regard to open membership.
b) Administration
i) The Junior section committee shall be responsible for the management of the administration of the Section.
ii) The section's financial accounts, held within the Club accounts, shall be subject to audit annually by the Club's appointed auditors.
