Constitution
1.1. The name of the Club shall be “Rye Rugby Union Football Club”, hereinafter called the “Club”. The Club shall be in membership with 1) The Rugby Football Union and 2) Sussex Rugby Football Union Ltd.
1.2. All current and future legislation as stated by The Rugby Football Union will be adhered to.
1.3. The objectives of the club are to establish, maintain and conduct a Club for the purpose of playing Rugby Union Football by adults, youths and children. Other such sporting and recreational activities that are considered by members to be complementary to Rugby Union Football, and to provide a clubhouse and other conveniences, and generally to afford Members and their guests all the usual privileges, advantages, convenience and accommodation of a Club.
2. COLOURS
2.1. The Club colours shall be Red and white jerseys, Black shorts, and Red stockings.
3. MEMBERSHIP AND SUBSCRIPTIONS
3.1. Classes of Member.
There shall be two classes of Rugby Membership. These shall consist of:
Playing: Senior, Student, Colt, Junior and Mini.
Non-Playing: Full Member. (Anyone who is a Vice President will be deemed as Full Member).
These Memberships give each Member full voting right’s with regard to Club affairs at the Annual General Meeting.
3.2. General Committee will determine the respective annual subscription of Members each year. All subscriptions shall be due on the 1st September in each year. No Member whose subscription is in arrears on the 31st October shall be eligible for any Club team, and may be refused the use of the Club facilities until the said subscription be paid. If any Member in arrears with his or her subscription after the 31st October in any year, the General Committee may display their name on the Club notice board. Then shall have the power, after giving seven days notice to that Member to declare such person no longer a Member of the Club. The said person shall thereupon cease to be a Member of the Club, but shall still be liable for that year’s subscription. This may not be enforced in special circumstances as instructed by Committee. For Senior’s, Students and Colt playing Members in addition to their annual subscription there may be also a match fee payable. General Committee will have the responsibility for decisions on match fees.
3.3. The General Committee has the power to allow the use and benefit of the Club facilities to the playing and non-playing members of other sports clubs and associations at times agreed by the Committee.
3.4. Visiting teams, supporters, and any match officials connected with sporting clubs and associations using the Club facilities are members for the day of the visit and must adhere to the Club Premises Certificate, as set out in the Licensing Act 2003.
3.5. Associate Membership covers the use and benefit of all facilities offered by the Club when open, except for the playing of any official game of rugby without permission from The General Committee. Associate Member’s must be a member of their sports club or association and part of their fee must be paid over to the Rugby Club to be registered as a Social Member, to allow use of Club facilities. Associate Members and Social Members do not have any voting rights with regard to Club affairs. Either as a General Committee Member or at AGM.
3.6. Each Club Member shall be permitted to introduce visitors as guests of the Club, but no Member shall be permitted to introduce more than two visitors at one time. The visitors and the Member shall sign the Visitors Book, which is kept for this purpose by the Club Steward. The Member must not leave the Club premises before his or her guests.
3.7. A comprehensive up to-date record of all Members must be recorded, and be available upon request of General Committee or other authorised persons. This being the responsibility of Club Subscription/ Membership Secretary, the associated clubs must make their records available on request.
3.8. The General Committee has the authority to vet anyone who is applying for Membership, and refuse the application. Anyone who applies for none playing full Membership of the Rugby Club must have a legitimate reason and approval of General Committee.
3A. LIFE MEMBERSHIP
3.1. The Club has the authority to award Life Membership’s in acknowledgement of outstanding services in the interest of the Club. This Honour excludes them from yearly Membership Fee’s though they still retain voting right’s.
4. COMPLAINT PRECEDURE
4.1. If a complaint is made to the General Committee that any Member has not conformed to, or has transgressed any of the Rules of the Club, or has behaved against the best interests of the Club, then that Committee shall investigate the case. Any complaint shall be sent in writing to the Secretary, who will forward a copy of the complaint to the Member concerned. The General Committee will not entertain a complaint where this provision has not been strictly observed.
4.2. The General Committee shall appoint a Disciplinary Committee to deal with the matters relating to the infringement by the Member of the Club.
4.3. The Disciplinary Committee shall comprise not less than three Members of the General Committee, including the Club Chairman.
4.4. Any Member wilfully damaging Club property shall make good the damage at their personal cost.
4.5. Any Member so expelled shall have the right of appeal to the General Committee in writing within seven days of the disciplinary decision.
5. APPLICATION OF PROFITS
5.1. No portion of the income or property of the Club shall be paid or transferred either directly or indirectly by way of dividend, bonus or otherwise by way of profit to members of the Club.
5.2. Subject to part (5.3) of this rule an Annual General Meeting may out of the profits set aside to reserve such sum (not exceeding the amount recommended by the Committee) as it may direct, which may be applied in or towards carrying out the objects of the Club.
5.3. Any of the profits not so applied shall be carried forward.
6. TRUSTEES
For the purpose of holding any real and/or leasehold property there shall be four Trustees of the Club in whom such property shall be vested. The General Committee shall appoint the first Trustee and the said real and/or leasehold property of the Club shall be vested in them on trust to be dealt with by them as a General Committee. The General Committee shall from time to time direct by resolution of which an entry in the Minute Book shall be conclusive evidence. The Trustees shall be indemnified against risk and expense out of the Club property. The Trustees shall hold office until death or resignation or until removal from office by a resolution of the General Committee who may for any reason which may seem sufficient to a majority of them present and voting at any meeting remove any Trustee or Trustees from office of Trustee. If by reason of any such death, resignation or removal it shall appear necessary to the General Committee that a new Trustee or Trustees shall be appointed. Or if the General Committee shall deem it expedient to appoint an additional Trustee the General Committee shall by resolution nominate the person or persons to be the new Trustee or Trustees. For the purpose of giving effect to such nomination the President is hereby nominated as the person to appoint new Trustees of the Club. Within the Trustee Act, or any statutory amendment thereof, and he shall be deed duly appoint the person or persons so nominated by the General Committee as the new Trustee or Trustees of the Club and the provision of the Trustee Act, shall apply to any such appointment. Any statement of fact in such deed of appointment shall in favour of a person dealing bona fide and for the value with the Club or the General Committee is conclusive evidence of the fact stated.
If at any time the Club in General Meeting shall pass a resolution authorising the General Committee to borrow money the General Committee shall thereupon be empowered to borrow for the purposes of the Club. Such amount of money either at one time or from time to time and at such a rate of interest and in such form or manner and upon such security as shall be specified in such resolution. Thereupon the Trustees shall at the direction of the General Committee make all such dispositions of the Club property or any part thereof and enter into such agreements in relation thereto as the General Committee may deem proper for giving security for such loans and interest. All members of the Club whether voting on such resolutions or not and all persons becoming Members of the Club after the passing of such resolution shall be deemed to have assented to the same as if they had voted in favour of such resolution.
If in the event of the dissolution of the Club, any net assets will be applied for approved sporting or charitable purposes.
7. RULES
These Rules are binding on all Members. Members can be provided with a copy and a copy shall be available on the Club premises. No alterations or additions to the Rules shall be made except by a majority of two thirds of the Members present who are entitled to vote, at the Club General Meeting. Notice in writing of any proposed alterations or additions to the Rules must be sent in writing at least seven days before the date of the Annual General Meeting. Full particulars of such proposed alterations shall be posted on the Club Notice Board together with the notice convening such Meeting.
8. ALCOHOL
8.1. The supply of alcoholic liquor in the Club will be permitted during the hours as described in the Premises Licence / Club Premises Certificate ( Licensing Act 2003).
8.2. Hours of use permitted 10 am / 1 am Monday to Saturday.
8.3. Hours of use permitted 10 am / 12 midnight Sunday.
9. HEALTH AND SAFETY
9.1. All Health and Safety issues will be adhered to as per the guidelines from the Statuary Organisations. A named Safety Officer will be appointed to monitor the above, reporting to The General Committee any recommendation and action necessary.
10. CLUB STEWARD
10.1. Appointed by General Committee following recommendations from Interview Panel for this position.
10.2. Responsible to Club Treasurer who will report to General Committee monthly, regarding Club Stewards participation within his working environment. Any recommended change of policy to his working practice will be agreed and implemented in the interest of Club Members, by General Committee.
10.3. The Club Steward shall have absolute control over all matters concerning the Clubs supply of alcohol, and management of required staff to dispense same. Also maintain a high standard of hygiene within Clubhouse including kitchen area.
10.4. The hours of serving alcohol during the hours granted are at the discretion of the Club Steward. These hours will only be altered either by a Member’s request that is upheld by the General Committee or at a ruling of the General Committee. Any additional ruling made will be recorded in writing and copy given to Club Steward for implementation.
10.5. Payment structure controlled by Club Treasurer. The General Committee before implementation of pay structure must approve same.
10.6. All Bar records must be maintained by the Steward and made available to the Club Treasurer on request.
10.7. Yearly appraisal to be carried out by Sub Committee. Outcomes reported to General Committee.
11. HIRE OF CLUB FACILITIES
11.1. The General Committee and Club Steward must approve any Club’s function, and guidelines must be made clear to the hirer before approval can be given.
11.2. A Sub Committee of the General Committee will oversee function and implement Stewarding if necessary.
11.3. Any person associated with any Club wishing to hire function facilities must be a fully paid Member of any category.
12. SELECTION COMMITTEE
12.1. The Selection Committee shall consist of Club Coach 1st Team Captain and Vice Captain, 2nd Team Captain. Additional Members can be co-opted by Club Coach.
12.2. Youth Committee will select their own teams and Captains including Colts.
13. YOUTH
13.1 The Club adheres to Government and RFU Legislation, including all guidelines to safeguard all youth participating in sport and using Clubhouse facilities (copy of these rules available from Club Secretary or Youth Committee).
14. ASSOCIATED CLUBS
14.1. Cricket Club have an agreed lease, as set out in terms of agreement. Copy can be requested via Club Secretary. Any other association wishing to join our complex must make application in writing to Secretary General Committee.

16. OFFICERS OF CLUB
The following appointments will be voted for at the Annual General Meeting .
16.1. President – The office of President is elected for one year consecutively, after term of office remains on General Committee unless Members vote against it. Or he/she wishes to resign.
16.2. President Elect – Nominations taken after two years term of President in Office.
16.3. Chairman – The Club Chairman will take the chair at all Club General Meetings, and attend any other meetings he wishes. In the Chairman’s absence the President takes the chair or an elected Member from the General Committee. The Chairman in all cases shall have a casting vote if necessary.
16.4. The Honorary Secretary – Attend all General Meetings. Also prepare and report a year’s summary for Annual General Meeting. Secretary must attend any other meetings throughout the year as and when required.
16.5. Club Treasurer – The Treasurer must throughout the year keep accurate accounting financial records, and prepare and submit a true record of income, expenditure and balance sheet for the Members at the Annual General Meeting.

17.16. The General Committee have authority to co-opt New Members throughout the year onto The General Committee. Any such person must pay Rugby Membership Subscription to be given voting rights.

20. All Club Committee Meeting Date’s to be posted on Club Notice Board.
21. INDEMNITY
21.1 The Members of the General Committee shall be entitled to an indemnity out of the assets of the Club for all expenses and other liabilities properly incurred by them in the management of the affairs of the Club.
22. ANNUAL GENERAL MEETING
22.1. The Annual General Meeting of the Club shall be held during June of each year, or on any other date at the discretion of the General Committee, providing such a date is within 15 months of the previous Annual General Meeting.
22.2. Voting shall be restricted to Rugby Members at the Annual General Meeting.
22.3. All resolutions put to a vote of Members at the Annual General Meeting shall be decided by a simple majority of those voting members.
22.4. Notification of Annual General Meeting must be displayed in Local Press also Club Notice Board, 7 days prior to date of meeting.
22.5. All nominations for Officers and Committee positions must be in writing proposed and seconded received by Club Secretary 48 hours prior to Meeting. A retiring Committee Member/Officer shall be eligible for re-election if they so wish without nomination. In the event of no nominations received the Meeting can vote a resolution, that nominations are accepted verbally by the Members at the Meeting and voted upon. If no nominations are received The General Committee have the power to appoint at the first Committee Meeting following the AGM. No nominations can be accepted unless the person nominating is a fully paid Rugby Club Member.
