Constitution
The Club shall be called “Southampton Saints Girls and Ladies FC”
2.OBJECTIVES:
The objectives of the Club are: -
a.To promote and foster the sport of girls and women’s football through association football matches and social activities for its members.
b.To support proposals and further movement that will in any way be beneficial to the sport.
c.To run teams playing top class football.
d.To provide the opportunity for Club players to play to their full potential.
3.MEMBERS:
The Club shall consist of an unlimited number of members, whose names and addresses shall be entered in a database kept for that purpose by the Club Secretary and Club Treasurer, of which shall be open to inspection by member’s at all reasonable times.
4.SUBSCRIPTION:
All members shall pay an annual signing on fee due on the 1st day of August each year. The payment of which will be a distinct acknowledgment of acquiescence to the rules of the Club. The amount due will be set by the Committee at their first meeting following the AGM, as will the weekly playing subscription for the season and also the match fees. This weekly subscription will be payable from the 1st date of pre-season training for both youth and senior sides. (E.g. Seniors July, Youth August) until the last training session or last training date in May whichever is the latter.
No member shall vote in Committee or general meeting unless their current subscription and all other monies due to the Club have been paid.
5.OFFICERS:
The Officers of the Club shall consist of the following:
Chairperson
Vice Chairperson
Secretary
Minutes Secretary
Treasurer
Fund Raising
Club Welfare Officer
Press Officer
The above Officers only shall be eligible to vote at Committee.
Further nonvoting Officers may be co-opted as deemed advisable by the Committee.
a.No Club Official to put themselves in a situation where they are left alone with an individual player under the age of 18.
b.Strictly no giving of lifts to players under the age of 18. If players wish to join the club then they need to be in a position to be able to get to training and matches of their own accord. It is not our responsibility and we need to cover ourselves under all circumstances. This should be the same rule for current players also.
c.FACEBOOK – No Manager or Coach to be associated with their Players on Facebook under any circumstance.
6.COMMITTEE:
a.The Committee shall consist of the Officers listed in Rule (5) plus Team Managers.
b.The Chairperson shall preside at Committee Meetings and at General Meetings during their term of office.
c.The Committee shall have the power to delegate any part of its authority for a specified purpose, to a sub-committee consisting of the Secretary or other Officer and 2 or more members.
d.The Committee shall have the power to consult or obtain advice and assistance from any person, whether a member of the Club or not, in furtherance of the objectives of the Club.
e.The Committee shall have the power to co-opt to fill vacancies. Co-opted members shall retire and submit themselves for election at the next AGM.
f.If any Committee member shall fail to attend 3 consecutive Committee Meetings they shall be deemed to have resigned and the Committee may fill the vacancy by co-option in accordance with Rule 6(e) above.
g.The Committee will appoint Managers yearly at the last meeting preceding the AGM
7.ELECTION OF OFFICERS AND COMMITTEE:
Nominations to replace or re-elect Officers must be made in writing to the Club Secretary prior to the AGM or verbally at the said meeting. All nominees must be proposed and seconded by paid up members of the Club, and must indicate their willingness to serve in the positions nominated.
In the event of more nominees than positions available as prescribed in Rule 6(a), a ballot must be taken to decide the result.
The result, with the votes polled must be recorded in the Minutes of the AGM.
8.PROPERTY:
The property of the Club shall be vested in the Committee and in the event of the Club ceasing to exist, a General Committee Meeting shall be called to decide the disposal of any assets.
9.MANAGEMENT:
The entire management of the Club shall be entrusted to the Committee, whose decision shall be final.
The Committee shall have the power to deal with any questions relating to the management of the Club not provided for by these rules.
10.COMMITTEE MEETINGS:
These shall be meetings of the Committee monthly, or as often as may be deemed necessary. Any 3 members shall form a quorum.
11.ANNUAL GENERAL MEETING:
The Annual General Meeting shall be held not later than 30th June in each year. At this meeting the following business shall be transacted:
a.The minutes of the preceding A.G.M. read and confirmed and business arising there from dealt with.
b.Presentation and adoption of Officers Annual Reports.
c.Presentation and adoption of Balance Sheet and Statement of Accounts.
d.Election of Officers.
e.Alteration of Rules, if any, (of which prior notice has been given).
f.Other business of which due notice has been given.
All voting shall be conducted by a show of hands, unless a ballot is demanded by at least one third of the members present or the Chairperson so decides.
Twenty one days previous notice in writing, shall be given, or sent by post, by the Club Secretary to all members of the Club. Any 5 members shall form a quorum.
12.EXTRAORDINARY & SPECIAL GENERAL MEETING:
An extraordinary and Special General Meeting of the Club shall be called on requisition in writing to the Club Secretary of 50% of members, whereupon 7 days notice in writing, shall be given, or sent by post by the Club Secretary to all members of the Club specifying the objectives of the Meeting to which alone discussion shall be confined. One third of members shall form a quorum.
13.OFFICER’S HONORARY:
All Officers of the Club shall be Honorary and no member shall be allowed to make the club a means of private speculation or trade or directly or indirectly derive a money profit there from.
14.NEW RULES:
All new rules, or alterations of existing rules, or the reversal of any former act or decision, shall be made at General Meeting or Extraordinary and Special General meeting and shall appear on the agenda convening the meeting. Such new rules, or alterations to existing rules, or the reversal of any former act or decision shall not be adopted unless they receive the sanction of at least two thirds of the members voting. Notice of proposed changes must be given in writing to the Club Secretary.
15.FINANCE:
a.All the expenses properly incurred by a Club Officer or member, with the consent of the Committee, for or on behalf of the Club shall be defrayed out of the funds of the Club alone, and no individual member shall be deemed to incur any responsibility in respect of the same.
b.Any individual is responsible for paying any fines they may incur through Club fines or fines imposed on them by either their local County Football Association, or in severe cases The Football Association.
c.All Club Officials also to be responsible for their actions as per the Codes of Conduct and any fines incurred by such personnel to be paid by the Official concerned and not the Club.
d.All fines, including expenses and hearing costs that may also be incurred, will be sent directly to the individual concerned who shall pay their fine within the timescale given, and sent to the relevant organization
e.All accounts to be audited annually and by the time of the AGM.
Cheques shall be signed by any two of the following:
Honorary Chairperson
Club Secretary
Honorary Treasurer
Each team will endeavour to finance its own activities. Planned additional expenditure will be with the agreement of the Committee
16.ANNUAL REPORT:
An Annual Report and Balance sheet for the period 1st June to 31st May, together with the Rules of the Club, the names of the members, committee officers etc can be made available for inspection by all members as and when required. The Annual Abstract of Accounts, duly audited, shall be open for inspection by all members of the Club.
17.EXPULSION OF MEMBERS:
The Club shall suspend or expel any member of the Club deemed guilty of misconduct prejudicial to the good name of the Club.
18.INSURANCE:
The Club shall maintain an Insurance Policy to adequately cover the Club and its members.
19.FUND-RAISING AND SPONSORSHIP:
All fund-raising schemes must be authorized by the Committee.
All members are expected to participate in all fund-raising activities.
Fund-raising will generally be a Club activity, and the proceeds will be for the Committee to manage. On occasions a team or section within the Club may organize their own fund-raising, in which case the proceeds may be spent on that team or section. Nonetheless, all monies raised must be described in full and in the Club Accounts.
Should the Club attract a sponsor, that sponsorship may be attached to the Club, a team or a section, but again all monies will be fully described in the Club Accounts.
20.ANNUAL TEAM AWARDS:
The following awards will be made annually for each team:-
Player of the Year (selected by the Manager)
Player’s Player (selected by the Player’s)
Most Improved Player (selected by the Manager)
Merit Award – selected by the Committee for presentation to any member deemed worthy.
A total maximum of 18 medals will be awarded in any Club Honours (League or Cup), to be selected by the Manager.
21.PLAYER/PARENT REPRESENTATIVES:
Player/parent Reps for each team to be selected by the Team Manager at the beginning of each season, to serve on the Committee, to present any matters put forward by that team, and to report back relevant details from Committee meetings.
22.MANAGERS:
The 1st Team Manager has the power of first selection to the players he/she, would like for his/her squad and the remaining players are then open to selection for the Reserve Team Manager. In the event of a dispute the committee has the power to make a final decision. Failure to comply with this rule may incur a penalty to the player(s) concerned punishable by a match suspension(s) imposed by the Club
Team Managers shall be responsible for the following but may delegate as needed:
Discipline
Team Selection
All kit
First Aid
Record of matches, goal scorers etc.
Managers are allowed to fine players for any breach of Club rules. All players have a right of appeal to the Committee against any fines imposed. Any player regardless of age, who incurs any bookings and subsequent fines from the Parent Football County, shall be responsible for paying their own fines.
23LIFE MEMBERS:
The Club may wish to acknowledge the particular contribution made to its activities by individuals. Any such person may be proposed as an Honorary Life Member of the Club. This will require the matter to be placed on the agenda of the AGM, and for the proposals to be supported by at least two thirds of those members voting.
24OTHER BUSINESS:
The Committee, whose decision shall be final and binding, shall deal with any matter not governed by the foregoing rules.
25RULES AND REGULATIONS:
The Club shall have the status of an affiliated member of The Football Association by virtue of its affiliation to/membership of The Football Association. The Rules and Regulations of the Football Association Limited and parent County Association and any League or Competition to which the Club is affiliated for the time being shall be deemed to be incorporated into the Club Rules.
No alteration to the Club Rules shall be effective without prior written approval by the Parent Association.
The Club will also abide by The Football Association’s Child Protection Policies and Procedures, Codes of Conduct and The Equal Opportunities and Anti-Discrimination Policy.
26ANTI DISCRIMINATION POLICY:
Southampton Saints Girls and ladies Football Club is responsible for setting standards and values to apply throughout the Club at every level. Football belongs to and should be enjoyed by everyone equally. Our commitment is to confront and eliminate discrimination whether by reason of sex, sexual orientation, race, nationality, ethnic origin, colour, religion or disability. Equality of opportunity at Southampton Saints Girls and Ladies Football Club means that in all our activities we will not discriminate or in any way treat anyone less favorably on grounds of sex, sexual orientation, race, nationality, ethnic origin, colour, religion or disability.

Southampton Saints Girls and Ladies Football Club will not tolerate sexual or racially based harassment or other discriminatory behavior, whether physical or verbal, and will work to ensure that such behavior is met with appropriate action in whatever context it occurs.
Southampton Saints Girls and Ladies Football Club is committed to the development of the programme of ongoing training and awareness raising events and activities, in order to promote the eradication of discrimination within its own organization, and within football as a whole.
27EQUAL OPPORTUNITIES POLICY FOR CLUBS:
Southampton Saints Girls and Ladies Football Club is committed to a policy of equal treatment of all members and requires all members of whatever level or authority, to abide and adhere to this general principle and the requirements of the Codes of Practice issued by the Equal Opportunities Commission and Commission for Racial Equality.
All members are expected to abide by the requirements of the Race Relations Act 1976, Sex Discrimination Act 1986 and Disability Discrimination Act 1995. Specifically discrimination is prohibited by:
Treating any individual on grounds of gender, colour, marital status, race nationality or ethnic or national origin, religion, sexual orientation or disability less favourably than others.
Expecting an individual solely on the grounds stated above to comply with requirement(s) for any reason whatsoever related to their membership, which are different from the requirements for others.
Imposing on individual requirements which are in effect more onerous on that individual than they are on others. For example, this would include applying a condition which makes it more difficult for members of a particular race or sex to comply than others not of that race or sex.
Victimisation of an individual
Harassment of an individual, by virtue of discrimination.
Any other act or omission of an act, which has as its effect the disadvantaging of a member against another, or others, purely on the above grounds. Thus, in all the Club’s recruitment, selection, promotion and training processes as well as disciplinary matters, it is essential that merit, experience, skills and temperament are considered as objectively as possible.
Southampton Saints Girls and Ladies Football Club commits itself to the immediate investigation of any claims of discrimination on the above grounds and where such is found to be the case, a requirement that the practice cease forthwith, restitution of damage or loss (if necessary) and to the investigation of any member accused of discrimination. Any member found guilty of discrimination will be instructed to desist forthwith. Since discrimination in its many forms is against the Football Club’s policy, any members offending will be dealt with under the disciplinary procedure.
