SPECIAL GENERAL MEETING

Notice is hereby given that a Special General Meeting of Strathaven Rugby Football Club will be held in the clubhouse on SATURDAY 3rd DECEMBER 2016 at 11.45am

Purpose

At the club’s AGM in May 2016 the committee presented a motion to change the legal structure of SRFC from an unincorporated association to a Company Limited by Guarantee. The members approved this motion. Subsequently the committee has prepared the Articles of Association which, if approved by the members, will replace the club’s existing constitution and enable the legal structure to be changed to a Company Limited by Guarantee.

Agenda

1. Presentation of the proposed Articles of Association.
2. Membership vote on the approval of the Articles of Association.
3. Next steps in the process to convert to a Company Limited by Guarantee.

Documents

Attached to this notice of meeting is the existing SRFC constitution and note on the rationale behind the conversion to a Company Limited by Guarantee (originally issued with the May 2016 AGM documents).

The Articles of Association are in the process of final drafting and will be issued in due course.
