Constitution and Club Rules
June 2005
1. Name:
The club is a Limited Company by guarantee, called Woodley Sports Football Club Limited and shall be affiliated to the Cheshire County Football Association.
2. Objects:
Its objects shall be to provide association football for its members and such social, sporting and recreative pursuits as may be deemed desirable by the committee.
3. Directors:
The Directors shall consist of a minimum Chairman, Secretary, and Treasurer, all of who shall be subject to re-election at the A.G.M.
4. Committee:
The Club shall be managed by a General Committee consisting of: -
(A)The Directors and appointed Committee Members.
(B)Members of the Social Committee. All of which will have voting rights.
The General Committee shall meet once per calendar month on the fourth Monday evening and the proceedings at such meetings shall be duly recorded in a Minute Book or suitable computer file. At meetings of the General Committee, 60% of the Committee can form a quorum. The Social Committee is to meet once a calendar month on the third Monday to promote continuity. All meetings to commence at 7-30pm, at Woodley Sports Club, unless notified.
5. Powers of the Committee:
The property and / or assets of the Club shall be vested in the General Committee.
The General Committee shall have the power to appoint such Sub-Committees as may from time to time be deemed necessary and shall receive reports of such Sub-Committees at its meetings.
The General Committee shall have the power to suspend or expel any official, manager, playing member or supporter deemed guilty of conduct prejudicial to the good name of the Club.
The General Committee shall have the power to fill vacancies as may arise in its constitution between Annual General Meetings.
The General Committee shall have the power to declare a seat vacant should a member absent himself from three consecutive meetings without explanation deemed to be satisfactory.
Any matters not governed by the constitution or Club Rules shall be dealt with by the General Committee. The decision of which shall be final and binding.
The General Committee shall make such alterations to the Constitution or Rules of the Club as might be required from time to time.
6. Membership:
Shall consist of: -
A - The General Committee.
B - All players registered under the auspices of Woodley Sports Football Club Ltd.
C - Any other person over the age of 16 where the General Committee shall approve membership.
D Social Committee.
E Designated Child Protection Officer.
7. Annual Meetings:
The Annual Management Meeting shall be held one month before the AGM, replacing that months regular meeting. Nominations for the posts of officials and any other general Committee positions should be received in writing to the Secretary by 1st June.
The Annual General Meeting shall be held not later than the 31st July in each year. The Secretary shall give 21 clear days notice of such meeting to all members.
The Financial Statement and Secretarys report shall be received by the meeting which will also vote to ratify the election of Officers of the club, appoint auditors and transact any other business. Voting at the AGM shall be confined to: -
A - All players registered under the auspices of Woodley Sports Football Club.
B - Members over 16 years of age.
C - Members of the Social Committee
D - Designated Child Protection Officer.
8. Extraordinary General Meeting:
An Extraordinary General Meeting may be convened by the General Committee when deemed desirable. The Secretary shall give seven clear days notice to all parties.
9. Finance:
The Treasurer in empowered to act on behalf of the General Committee in the arrangement, as necessary, of Bank Loans and for the dispersal of funds to meet expenditure requirements.
The Treasurer shall cause to be kept, proper books of accounts, which shall be audited yearly. Official receipts for all monies received shall be signed by the nominated officer.
The General Committee shall authorise cheques to be signed from a list of approved signatories.
10. Alteration to the Constitution / Club Rules:
No alteration in these rules shall be made except at the Annual General Meeting or at an Extra-ordinary General Meeting convened for that purpose and only if supported by 60% of those present and voting at such meeting. Notice of proposed alteration to these rules must be given to the Secretary with 28 days notice prior to the Annual General meeting.
11. General Club Rules:
Club Colours
The Official club colours shall be decided by the General Committee, for the Season 2005/2006 they shall be Red / Blue.
Registration / Membership
Players will only be eligible to play for the club in the League and Cup matches when they have duly signed a correctly completed official League Registration Form,
All players registered with the club may not register with or play for any other club in the Northern Premier League in the same season, without first being officially transferred as per the League Rules via the Club and League Secretaries.
Insurance
The payment of the Clubs Annual Insurance includes cover for Public Liability and Personal Injury as recommended by the Northern Premier League & Cheshire F.A., but not loss of personal property.
A copy of the policy is held by the Secretary for your inspection.
Match days
Players must ensure that they arrive at the prearranged meeting place at the correct time with the required kit.
The F.A. stipulates that all players must wear shin pads at all times during matches, otherwise they will not be permitted to play by the referee. Also all items of jewellery must be covered or removed before entering the field of play, this covers watches, rings, necklaces and bands, earrings etc.
Unavailability
If any player is unavailable to attend match days or training, it is important that they inform their team manager as soon as possible. Failure to do so may jeopardise their chance of selection for the next game.
Squad Members
Attendance at matches by squad members who have not been selected to play is encouraged in order to give the team vocal support and promote team spirit amongst the whole squad.
It should be emphasised, that all members of the squad are important to the team and any player not selected for a particular match does not mean they will not be required for the next game. A settled side is usually the more successful but all squad members will be given frequent opportunities to play.
Training
The team managers appreciate it, if players make every effort to attend their teams training sessions on a regular basis. Failure to do so may jeopardise their chance of selection for the next game.
Equity
Discrimination in any form will not be tolerated. The Club Discipline Procedure invokes this and any such offence shall be deemed serious misconduct.
Discipline Procedure
The Clubs management committee are very keen on good sportsmanship being shown by Officials, players and supporters at all times both on and off the pitch. Bad sportsmanship of any kind will not be tolerated and all players displaying unsporting behaviour will be liable to suspension or expulsion from the club or such action as deemed appropriate by the General Committee.
Players should remember whenever they are attending any event connected with Woodley Sports FC, whether a match or some other Club function, that they are representing the club and should always conduct themselves accordingly.
1)If a complaint is made to any officer or manager, either written or verbally, about any person or persons associated with the club, the Club Secretary or other members of the Discipline committee should be informed immediately.
2)The Club Secretary or other members of the Discipline committee should at the earliest opportunity, speak to the complainant to ascertain the full details of the complaint and request this be put in writing.
3)The Club Secretary or other members of the Discipline committee should then inform the person or persons of that complaint and give them the opportunity to give their version of events.
4)All managers and officers are to be advised of the matter and full details from both parties, given to them.
5)The person or persons, who have had the complaint made against them, will then be asked to attend a full discipline committee meeting where the events will be discussed in detail.
6)If the person or persons involved are found to be in breach of the above constitution statement then the committee have, after a vote, the following powers:
a)Give the person or persons involved a verbal warning, which will be minuted, as to their conduct and advised that any future occurrence will result in their expulsion from the club.
Or
b)If the offence is deemed serious enough, then that person or persons responsible are to be dismissed instantly from the club. The officers and committee shall decide the seriousness of the offence.
7)These rules apply to any person connected to the club. Managers, Officers, Supporters and Players alike.
8)This Discipline Procedure can be used in addition to any formal procedures undertaken by the Leagues or Competitions in which the Club plays and by the Cheshire F.A. If after any of the above procedures are completed, no action is taken, this does not exclude the person or persons involved from being disciplined by the club.
Although this is not a legal procedure, all persons connected to the club in any capacity will be required to adhere to this procedure.
Fines
Following a directive from the F.A., all players or named officials will be expected to reimburse the club of the Administration Fee for any booking or sending off offence that is reported to the club. This fee is to be paid within 14 days of notification of the offence. The Club is duty bound to suspend any player not conforming to this instruction and has to report the incident to the League and the F.A.
