"It is resolved that under section 112(a) of the Co-operative and Community Benefit Societies Act 2014 WITHAM RUGBY UNION FOOTBALL CLUB LIMITED with the registered number IP28824R be converted into a company limited by shares with the same name and registered under the Companies Act 2006 and that the memorandum and articles of association in the format presented to the meeting and for the purposes of identification initialled by the chairperson be adopted as the memorandum and articles of association of the company."
