1. Constitution 1


Club Constitution
1. The name of the club shall be Cosby Rugby Football Club, and the club colours shall be black, red and white.
2. The objects of the Club shall be those of the English Rugby Union, the promotion of, and instruction in the game of rugby.
3. The Club shall be affiliated to the Leicestershire Rugby Union (LRU), the English Rugby Union (ERU), and to such bodies as the annual general meeting may decide.
The Club shall be conducted in accordance with the laws of the LRU and ERU, and members shall conform to committee instructions.
All members shall be amateurs, as defined by international board laws.
4. The annual general meeting (AGM) shall be held on a date fixed by the committee, before the end of June each year.
A special general meeting (SGM) shall be held within twenty-eight days of receipt by the Hon. Secretary of a written request from ten members, or the committee; such meetings to deal only with the matter(s) of which notice is given in the request.
Each member in subscription shall be notified of an AGM, as the case maybe, not less than twenty-one days before the date of meeting. Such notice shall include Secretary and Treasurers Reports. Additions, or deletions or alterations to the constitution shall only be made at an AGM and any proposals for such additions, or alterations shall be submitted to the Hon. Secretary seven days prior to the meeting.
The quorum at an AGM shall be ten, and voting shall be confined to members in subscription. The President, Officers and Committee shall be selected at the AGM.
Officers shall consist of the President, Immediate Past President, Captain, Chairman, Hon. Secretary and Hon. Treasurer. The President shall be elected to hold office for two consecutive years. The position of President shall be a Committee nomination.
5. The Club shall be managed by a Committee composed of the Officers, and five other members elected at the AGM. In addition to the previous the Clubs Child Welfare Officer shall sit as a member of the Committee. The Child Welfare Officer is appointed by the Officers. Where two executive posts are held by the same person, the number of Committee members shall be increased to seven.
The quorum shall be five, two of which shall be Officers. The Committee shall appoint a person or persons to carry out an annual audit of the club accounts.
The Committee shall meet on the second Tuesday of each month (or other date set by the Officers), and as such times the President (or Chairman) in consultation with the Hon. Secretary may deem necessary. The Committee has the power to co-opt and shall have the authority to appoint a special committee for any special purpose with or without the power to act. Special appointed Committee members may not vote.
The Committee shall have the authority to make regulations within the framework of the constitution and the ERU laws and to deal with any matter not provided for in such constitution and laws.
6. Candidates for membership of the Club shall complete an application form for membership, which shall be submitted to the Hon. Secretary. They shall declare existing membership(s) of other rugby clubs. All applicants will be referred to the Committee for acceptance or rejection.
A member wishing to resign must give notice to the Hon. Secretary before the 31st October, or will be held liable to that season's subscription.
7. All funds and other property of the Club shall be applied to the furtherance of the objectives of the Club. No funds or other property of the Club shall be paid or distributed among members of the club, except as allowed by the ERU laws relating to expenses. In the event of dissolution the assets remaining shall be devoted to objects similar to those of the Club.
8. The Club accounts shall close on 30th April in each year, and shall be audited and submitted to the AGM.
9. At all meetings, motions shall be decided by a simple majority of those voting for or against the motion. The Chairman shall a casting vote only.
10. Annual subscriptions shall become due on 1st August. Members who have not paid their subscriptions by the last day of October shall not be entitled to any privileges of membership.
11. Perpetual Club trophies shall be returned to the Club trustee on request. Only members in subscription shall hold such trophies.
12. The Committee shall fill any vacancies during the year and report same to the AGM, and deal with any other matters which occur during the year which are not covered by the Clubs constitutional rules.
