Dear Members,

There was a concern raised at the AGM in August that the meeting was not quorate, as we did not have the required twenty members (there were only sixteen). This has happened for the past few years so we once again took the decision to proceed, which was approved by the meeting.

However, one member has continued to repeat this concern so we have decided to hold a SGM at a time of year that there should be a number of members in the clubhouse for the Armstrong Quaich. We will then be able to ratify the outcome of the meeting. We are also taking the opportunity to update the Constitution to remove redundant sections, and also to reduce the number of members required to make the meeting quorate. This should make it easier each year to approve the AGM but of course there is no limit on the maximum number of members who can attend so if we ever do need to vote on an important issue in the future we can try to ensure that everyone attends.

SPECIAL GENERAL MEETING – Thursday 29th December 2022 @ 12.00 pm

We intend to vote on the following two proposals. The first requires a simple majority of those present and entitled to vote, but as the second are changes to the constitution this requires a two-thirds majority.

AGENDA

  1. Approval of outcome of August 2022 AGM i.e. Adoption of Annual Accounts to April 2022; appointment of office bearers - President Iain Dove, Treasurer Peter Sanderson, Secretary Colin Williams, 1st XV Captain Connor Johnson, Vice-Captain Ethan Telfer.
  2. Approve the amendments to the constitution, detailed in the attached document. To save time we will initially vote on all of the amendments taken as a whole, if this is not approved we will then vote on each section separately (i.e. thirteen separate votes).
