NOTICE OF EXRAORDINARY GENERAL MEETING

NOTICE OF EXTRAORDINARY GENERAL MEETING 

There will be an Extraordinary General Meeting of the club on Wednesday 18th September, 7pm at the Clubhouse.

This EGM has been called by the Board of Trustees in line with the provisions of the Constitution.

The Board of Trustees have been unable to fill the posts of Treasurer and Secretary since the AGM was held in May this year. This has created issues for the way that the Board has been able to operate, with a subsequent knock-on effect for the management of the club.

Further, the current Chairman is having to step down for personal reasons.

The purpose of this EGM is to:

  1. Advise the members of current issues regarding the operation of the Board of Trustees and management of the club
  2. Seek the election of a Chairperson, Secretary, and Treasurer.
  3. Seek the election of additional Trustees to the Board
  4. Vote on an amendment to the Constitution as detailed below.

It is important that as many members attend as possible.

Proposed amendment to the Constitution:

Clause 30.1 currently states:
The charity trustees must elect (from among themselves) a chair, a treasurer and a secretary.

Amend this clause to state:

The members must elect at each AGM a Chairperson, Treasurer, and Secretary.

Clause 26 currently states:
26. Initial charity trustees
26.1 The individuals who signed the charity trustee declaration forms which accompanied the application for incorporation of the organisation shall be deemed to have been appointed by the members as charity trustees with effect from the date of incorporation of the organisation.

As this is no longer relevant, delete Clause 26 and re-number subsequent clauses accordingly.

These amendments to the Constitution require a 2/3rds majority to pass.
